Terms of Use
These Terms of Use govern your access to and use of novidaanalytics.com, our analytics platforms, data products (Novida Concepts Pro, Novida Evidence Vault, Novida Phenotypes, Novida Burden Score API), the RWE/HEOR Virtual Academy, and all related tools and content (collectively, the “Services”).
Novida Analytics LLP is a Limited Liability Partnership incorporated in India and operating as a life sciences evidence and analytics company. These Terms are governed by the laws of India.
If you are accepting on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.
1. Eligibility & Access
The Services are intended for business professionals in the pharmaceutical, biotech, life sciences, and related industries. To use the Services, you must:
Be at least 18 years of age
Have legal authority to accept these Terms on your own behalf or on behalf of your organization
Comply with all applicable laws and regulations
Not use the Services for any unlawful or prohibited purpose
We reserve the right to refuse access to any person or entity at our sole discretion.
2. Account Registration
Certain features of the Services require you to register for an account. By registering, you agree to provide accurate and complete information, maintain the confidentiality of your credentials, and accept responsibility for all activity under your account.
Notify us immediately at info@novidaanalytics.com if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate accounts where information is inaccurate or these Terms are violated.
3. Description of Services
CONSULTING & ANALYTICS
Expert-led clinical trial intelligence, RWE, and HEOR studies. Scope, deliverables, and pricing are governed by applicable Client Agreements. These Terms do not supersede any Client Agreement.
DATA PRODUCTS & API
Access to Proprietary Data Products is subject to separate subscription or data access agreements. Redistribution, sublicensing, or resale without express written authorization is strictly prohibited.
VIRTUAL ACADEMY
Structured RWE/HEOR training programmes with certification pathways. Enrolment requires payment of applicable fees, compliance with academic integrity obligations, and agreement not to redistribute course materials.
INNOVATION & INCUBATION
Participation is by application and subject to a separate participation agreement. Submission of a project idea does not create any obligation on Novida Analytics to accept, fund, or develop it.
4. Acceptable Use
You may use the Services only for lawful purposes. You may not:
Transmit spam, unsolicited communications, or malicious content
Attempt unauthorized access to any part of the Services, accounts, or related systems
Introduce viruses, malware, or other harmful code
Scrape, crawl, or systematically extract data without express written consent
Use Content to train, fine-tune, or develop AI/ML models without a separate written license
Reverse engineer or decompile any platform, tool, or data product
Impersonate any person or entity, or misrepresent your affiliation
Use the Services in violation of HIPAA, GDPR, DPDPA, or FDA/EMA guidelines
Remove, alter, or obscure any proprietary notices or branding
Provide competing services to third parties using our Content without a separate written agreement
5. Fees & Payment
All fees are specified in the applicable order form, subscription agreement, or checkout process
Subscription Services renew automatically unless cancelled before the next billing period
All fees are non-refundable except as stated in a Client Agreement or required by applicable law
Academy cancellations more than 14 days before the Programme start may qualify for a full refund
Pricing for future periods may be modified with reasonable prior notice
6. Intellectual Property
NOVIDA ANALYTICS OWNS
All Services, Content, platforms, databases, analytical methodologies, Proprietary Data Products, course materials, trademarks, and the Novida Analytics brand. These are the exclusive property of Novida Analytics LLP, a Limited Liability Partnership incorporated in India. All rights not expressly granted are reserved.
YOUR LICENCE
A limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content solely for your internal business purposes. You may not copy, redistribute, create derivative works, sublicense, or grant access to third parties.
FEEDBACK
Any feedback or suggestions you provide grants Novida Analytics with a worldwide, perpetual, royalty-free license to use and incorporate them without obligation to compensate you.
YOUR CONTENT
You retain ownership of content you submit. By submitting, you grant Novida Analytics a non-exclusive license to store and process it solely as necessary to provide the Services.
7. Confidentiality
You may access proprietary or confidential information, including methodologies, analytical frameworks, benchmark data, and unreleased features. You agree to hold such information in strict confidence, not disclose it to third parties without prior written consent, and use it solely for permitted purposes.
These obligations do not apply to information that is publicly available through no fault of your own, independently developed by you without use of Confidential Information, or required to be disclosed by law or court order (with reasonable prior notice to Novida Analytics where permitted).
8. Disclaimers
No medical, regulatory, or legal advice. Services, Content, and Data Products are provided for informational and analytical purposes only. Nothing constitutes medical, regulatory, legal, or investment advice. You are solely responsible for decisions made based on information obtained through the Services.
No warranty on analytical outputs. Analytical estimates, forecasts, and benchmarks are inherently probabilistic and subject to uncertainty. Actual results may differ materially from modelled estimates.
To the maximum extent permitted by applicable law, the Services and all Content are provided "AS IS" and "AS AVAILABLE," without any warranty of any kind. Novida Analytics does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Novida Analytics will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
Total aggregate liability is capped at the greater of: (a) fees paid in the 12 months preceding the claim; or (b) INR ₹8,500 (approximately USD $100 at the time of last update of these Terms).
Some jurisdictions do not allow the exclusion or limitation of certain categories of damages. In such jurisdictions, liability is limited to the fullest extent permitted by applicable law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Novida Analytics and its officers, employees, affiliates, and licensors from claims, damages, and expenses (including legal fees) arising from your use of the Services, breach of these Terms, your submitted content, or any misrepresentation.
11. Term & Termination
These Terms commence on first use and continue until terminated. Novida Analytics may suspend or terminate access at any time with or without notice.
Upon termination: your license ceases immediately; you must stop using and delete all Proprietary Data Products; and provisions that by their nature survive (IP, confidentiality, disclaimers, limitation of liability, indemnification, governing law) remain in effect.
12. Governing Law & Disputes
GOVERNING LAW
These Terms are governed by the laws of India, including the Indian Contract Act, 1872, the Limited Liability Partnership Act, 2008, and other applicable Indian laws.
INFORMAL RESOLUTION
Before initiating formal proceedings, the parties agree to attempt informal resolutions for at least 30 days. Contact info@novidaanalytics.com with a written description of the dispute.
ARBITRATION
Unresolved disputes shall be subject to binding arbitration administered under the Arbitration and Conciliation Act, 1996 of India. Seat and venue: Bengaluru, India. Language: English. The arbitral award shall be final and binding.
Either party may seek emergency equitable relief in a court of competent jurisdiction in India to prevent infringement of intellectual property rights or breach of confidentiality obligations.
INDIVIDUAL CAPACITY
To the extent permitted by applicable Indian law, claims must be brought in individual capacity only. Nothing in these Terms prevents either party from seeking emergency relief or interim measures before a competent Indian court pending arbitration.
13. Export & Compliance
You agree to comply with all applicable export control and trade compliance laws, including Indian foreign trade regulations administered by the Directorate General of Foreign Trade (DGFT) and the SCOMET list, as well as the export control laws of any jurisdiction from which you access the Services.
You may not use, export, or re-export any part of the Services or Content in violation of applicable laws or to individuals or entities subject to applicable trade sanctions or restrictions.
14. General Provisions
Entire Agreement — These Terms, the Privacy Policy, and any Client Agreement constitute the full agreement
Severability — Invalid provisions are modified to the minimum extent necessary; remaining provisions stay in effect
Waiver — No failure to exercise a right constitutes a waiver of that right
Assignment — You may not assign your rights without written consent; Novida Analytics may assign freely in M&A contexts
Force Majeure — Not liable for failures due to circumstances beyond reasonable control
Modifications — Material changes communicated with an updated “Last Updated” date; continued use constitutes acceptance
